Prior to joining Marshall Denning, Jay was the Director of Commercial Contracts and Deal Governance at Sutherland Global Services, Inc. where he was responsible for client engagement, deal management, deal governance, and negotiation of complex high value global process transformation and digital service agreements. Jay was also responsible for the legal oversight and automation efforts related to the deal governance activities of a global team of lawyers and contract management professionals. In addition, Jay spent time as the Controller, Incentive Compensation for the Business Development group. Jay began his career in litigation representing institutional clients in commercial disputes, antitrust matters, and general corporate issues. Jay focused on complex data management and e-discovery protocols, and in addition to traditional litigation practice duties, maintained oversight of large-scale document review projects. Jay was also responsible for designing and implementing firm best practices of processing data for review and production. Licensed to practice law in New York, Jay has a Bachelor of Arts from Saint Bonaventure University and received his law degree from New York Law School.

Prior to joining Marshall Denning, Ivelina was Lead for CSC’s Commercial and Legal Shared Services Center based in Bulgaria, supporting Iberian and Latin American transactions. Her experience also includes her work as an in-house lawyer with the Spanish investment group Grupo Arborea, overseeing the legal compliance of the company’s activities, including structuring shareholder relationships and joint ventures, and choosing optimal cost and tax efficient solutions for given transactions. Ivelina also has experience in real estate and contract law, property and facility management, labor and tax law, and investment planning and financing. Prior to Grupo Arborea, Ivelina had a leading role in an international company negotiating deals with some of the biggest retail chains in Europe. Ivelina is member of the Sofia Bar, holds a Master’s degree in Jurisdiction from Sofia University St. Kliment Ohridski, and is fluent in Spanish, English and Bulgarian. Frédéric has over 20 years' experience as a transaction lawyer, specializing in IT, Media, Consumer and International Contract Law. He has been registered with the Brussels bar since January 1996 and with the Paris bar since March 2018. Prior to joining Marshall Denning, Frédéric was the Legal Account Support Lead for Hewlett Packard Enterprise in Switzerland, The Netherlands, Belgium, and Poland. In addition to his management role, he negotiated large BPO and ITO transactions. Previously, he worked as a lawyer in several international law firms based in Brussels (Belgium). He was also a Scientific Faculty Member of the Economic Law Department at the Free University of Brussels (VUB), co-founder of the “Business & Contracts” Research Group attached to the university and visiting professor of e-Business Law at EPHEC. Frédéric is the co-author of the Belgian Code of Economic Law drafted on behalf of the Belgian Ministry of Economy and the author of various legal publications. Frédéric established a Pro Bono First Line Legal Aid with the Social Services of the city of Geneva. Frédéric graduated from the Faculty of Law of the Catholic University of Louvain (UCL) and received a post master degree in International and European Law from the Free University of Brussels (VUB), as well as a teaching degree from the Catholic University of Louvain (UCL).

His corporate background ranges from corporate governance, mergers and acquisitions, data privacy, and litigation management for Fortune 500 clients across the globe. Robert has broad knowledge of Open Source Software licensing and usage issues, including drafting corporate Open Source policies and developing legal best-practices for risk management. Prior to joining Marshall Denning, Robert’s work experience includes private practice and in-house counsel positions, working for the United States Foreign Commercial Service, and serving as executive director for a state finance authority in the United States.

Sarah Woodhead
Legal Counsel
Sarah brings over 25 years’ experience, both in private practice and in-house, to her role as Legal Counsel. Starting her career in law as a Barrister in independent practice, Sarah practised in London for seven years representing clients in the higher courts, appearing in the Court of Appeal and marshalling with the former Lord Chief Justice of England and Wales. Sarah has a wealth of experience when dealing with complex, high value litigation having been rated by colleagues in the industry for providing practical, strategic, commercial and legal advice. After marrying, Sarah re-qualified as a solicitor, and in 2012 moved in-house with Hewlett-Packard where she dealt with litigious and transactional matters. In relation to her transactional work, Sarah has been identified by colleagues in the industry as someone who is able to work on complex multi-million dollar IT contracts in the financial, retail and public sectors creating commercial agreements that promote positive long-term business relationships by managing risk and enabling growth. Sarah is a member of the Marshall Denning Employment and Data Protection Working Groups. Sarah has developed particular expertise in dealing with Irish contentious and non-contentious matters.
